These Terms of Service ("Terms") constitute a legally binding agreement between you and Shoboti ("Company", "we", "us", or "our") governing your access to and use of shoboti.com, creator storefronts, checkout features, and associated social messaging automations.
1. Acceptance & Eligibility
By creating an account, browsing any Shoboti storefront, placing an order, or interacting with our automated Instagram or WhatsApp shopping responses, you expressly agree to these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue using our services.
Age Requirement: You must be at least 18 years of age (or have reached the age of majority in your jurisdiction) to establish a creator storefront, enter into commercial contracts, or complete checkout transactions.
2. Creator & Merchant Agreement
If you register as a creator or merchant on Shoboti:
Intermediary Platform Status: You acknowledge that Shoboti operates as an e-commerce technology enabler and intermediary under Section 79 of the Information Technology Act, 2000. Shoboti provides the digital storefront, catalog hosting, order orchestration, and checkout infrastructure; the merchant of record for products sold is the individual creator or their registered business entity.
Product Authenticity & Accuracy: You warrant that all goods listed on your storefront are authentic, accurately represented, non-infringing, and compliant with Indian Consumer Protection (E-Commerce) Rules, 2020. You are solely responsible for ensuring products meet statutory quality and safety standards.
Fulfillment Commitments: You agree to dispatch confirmed orders within 24 to 48 hours via approved courier partners (e.g., Shiprocket) and honor the platform's 7-day return and refund window.
Content Licensing: You retain complete ownership of your creative media, photos, and Reels. You grant Shoboti a non-exclusive, royalty-free license to host, display, transcode, and index your public content solely for operating your storefront and shoppable media feeds.
3. Customer & Shopper Terms
When you purchase products via a Shoboti storefront:
Contract Formation: The contract for sale is concluded directly between you and the respective creator/merchant upon receipt of payment confirmation. Shoboti facilitates payment processing and order status routing.
Pricing & Availability: All prices are displayed in Indian Rupees (INR) inclusive of applicable taxes, unless explicitly marked otherwise. In the rare event of a pricing typo or inventory discrepancy, the merchant reserves the right to cancel the order and issue a prompt 100% refund.
Shipping & Delivery: Delivery timelines are detailed in our Shipping Policy. Customers are responsible for providing an accurate delivery address and contact phone number.
Shoboti integrates official Meta APIs (Instagram Graph API and WhatsApp Business Platform) to deliver frictionless conversational commerce. All users and creators must strictly adhere to the following rules:
Anti-Spam & User-Triggered Responses: Automated direct messages (DMs) must only be dispatched in direct response to user actions (e.g. comment triggers or inbound DM queries). Sending unsolicited commercial bulk spam is strictly prohibited and results in immediate account termination.
Compliance with Meta Policies: Creators must comply with Meta Platform Terms, Instagram Community Guidelines, and WhatsApp Commerce Policies at all times.
Opt-Out Respect: Any marketing or cart reminder delivered via WhatsApp must contain an immediate opt-out mechanism. Once a user opts out, no further non-transactional messages may be sent.
5. Prohibited Goods & Activities
The following listings and activities are strictly banned on the Shoboti platform:
Counterfeit, replica, or unauthorized trademarked goods.
Prescription pharmaceuticals, unauthorized herbal remedies, or unverified medical health claims.
Weapons, explosives, hazardous chemicals, or regulated substances.
Adult, sexually explicit, or obscene products.
Money-laundering, fraudulent pyramid schemes, or unauthorized lottery/gambling activities.
Malicious code, automated scrapers, denial-of-service attempts, or reverse engineering of platform software.
6. Intellectual Property & Notice-and-Takedown
Shoboti respects the intellectual property rights of artists, brands, and creators. We enforce a strict notice-and-takedown policy compliant with the Copyright Act, 1957 (India) and the Digital Millennium Copyright Act (DMCA).
If you believe that your copyrighted work or trademark has been infringed on a Shoboti storefront, submit a formal infringement notice to our legal counsel at: legal@shoboti.com including:
Identification of the copyrighted work claimed to have been infringed.
Direct URL or screenshot of the infringing material on Shoboti.
Proof of ownership or legal authority to act on behalf of the copyright owner.
Your physical address, telephone number, and official email address.
7. Fees, Settlements & Creator Billing
Platform Subscriptions & Fees: Creator subscription plans and transaction fee structures (basis points per completed transaction) are detailed in the creator dashboard. Fees are billed on a recurring monthly or annual basis.
Merchant Payouts: Net sales proceeds (gross revenue minus platform fees, payment gateway processing fees, and statutory deductions) are settled into the creator's verified bank account via RazorpayX according to the standard T+2 or T+3 rolling settlement schedule.
Chargebacks & Refunds: In the event of a customer dispute or verified return, the refunded amount is debited against the creator's pending settlement balance.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Shoboti is not liable for indirect, incidental, special, or consequential damages resulting from lost profits, service interruptions, third-party API downtime (such as Meta or payment gateway outages), or courier transit delays.
Our total cumulative liability for any claim arising under these Terms shall not exceed the total platform fees paid by you to Shoboti during the three (3) months preceding the event giving rise to liability.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
